Terms of sale and use.

The terms on which the FutureOrg System is sold and licensed. Written to be read, not to be survived.

Plain English, on purpose. These terms are written the way we would explain them in a conversation. That does not make them less binding — it makes them easier to disagree with before you pay, which is when disagreeing is useful.

If anything here is unclear or does not work for your company, say so before you buy. We would rather change a term than have you sign something you did not read.

Who you are contracting with

The FutureOrg System is sold by Cezary Zubik NELWIT, a sole trader registered in the Polish Central Register of Business Activity (CEIDG), at ul. Żurawia 5, 05-430 Pogorzel, Poland, NIP 5321934803, REGON 520667173 ("FutureOrg", "we", "us").

These terms apply to businesses. They are not consumer terms, and the System is not sold to consumers.

What you are buying

One product: the FutureOrg System. In short, it is an AI transformation education taught by an agent, the method that sequences the work, a living model of your company to do the work in, and the AI agent that runs it alongside you. Six weekly working sessions with Cezary Zubik are included, from installation onwards.

What the System is, in full, is set out on futureorgdesign.com/apply and shown in detail in the Guide at futureorgdesign.com/guide. Those descriptions form part of this agreement. If what we deliver differs materially from what they describe, that is ours to put right.

How it is delivered. The System installs as a plug-in into a Claude environment that you provide and control — your own Claude subscription, on your own machine. Installing it places a self-contained set of files there: the methodology, Charlie's configuration and skills, and the model of your company as it gets built. From then on you work with it through Claude, the way you already work with Claude — there is no separate application to learn, log into, or maintain.

We do not host any part of it. There is no FutureOrg server between you and your work, and nothing you do inside the System passes through us.

Price and payment

The price is a single payment. It is stated on the invoice and is the full amount payable — there is no subscription, licence renewal, or recurring charge of any kind.

Payment is due within seven days of the invoice date. Installation begins on a date agreed with you in advance — for the first group, the date the group starts. Prices are net of VAT; business customers in the EU and the UK are invoiced under the reverse charge mechanism where applicable, and account for VAT locally.

Paying the invoice means you accept these terms.

The 14-day money-back guarantee

If the System is not what you expected, tell us in writing within 14 days of installation and we will refund the full amount paid. You do not need to justify the decision.

On a refund, your licence ends. You agree to stop using the System and to delete the installed materials from your environment. Anything you built with it that is your own — the model of your company, your documents, your own work — remains yours.

Your licence — what you may do

On payment you receive a perpetual, worldwide, non-exclusive, non-transferable licence to use the System for the transformation of one company — named on the invoice, and called the Licensed Company here.

That may be the company you work for. It may equally be a client company you have been engaged to transform: the licence follows the company being transformed, not your employment status. Consultants, advisers and fractional executives are squarely within who this is built for.

Perpetual means what it says: we cannot withdraw it, and it does not expire.

Within the Licensed Company you may use the System freely — install it, adapt it to how that company works, use it with its people, and keep using it for as long as it is useful.

Your licence — what you may not do

The licence covers the Licensed Company and no other. You may not:

  • Resell, sublicense, rent, lend, or otherwise distribute the System or any part of it
  • Use the System, or materials derived from it, to deliver services to any company other than the Licensed Company
  • Publish, share publicly, or make the System's materials available outside the Licensed Company
  • Remove or obscure attribution within the materials

If you work with more than one client company, you need a licence for each — one licence does not travel across your client book. That is the single thing this clause exists to prevent. Tell us if you want to work across several companies; it can be arranged, and it is a different agreement on different terms.

The methodology we publish openly — on our website, in the Guide, and in anything else we make public — is not restricted by this clause. Publishing it is deliberate. The restriction is on the System itself: the installed materials, Charlie, and LayerCake.

Who owns what

We own the System — the methodology, the materials, Charlie, LayerCake, and everything we bring to the engagement. You receive a licence to it, not ownership of it.

You own everything that is yours: your company's data, the model of your company that you build, the documents and processes you create, and any work product that comes out of using the System. We claim no rights over it.

Your Claude environment

The System runs inside a Claude subscription that you buy and hold directly with Anthropic. That relationship is yours, governed by Anthropic's terms, and billed separately from anything you pay us.

We do not control Claude's availability, pricing, model behaviour, or terms. If Anthropic changes something that affects how the System runs, we will adapt the System — but we cannot be responsible for the platform itself.

The six sessions

Six weekly working sessions with Cezary Zubik, each of 45 minutes, beginning at installation and to be used within six weeks of it.

Sessions can be rescheduled with reasonable notice. Sessions not used within that window are not carried over or refunded.

Support, fixes and updates

The System is early. We fix defects and problems as they surface, and during your first six months you can raise them with us directly and we will respond within two working days.

We may improve the System over time. We do not promise any particular future feature, release, or timetable, and nothing on our website or in a conversation should be read as a commitment to build something specific.

What we do not promise

We do not guarantee any particular business result. The System is a method and a set of instruments; what it produces depends on the work you put through it, the state of your company, and decisions that are yours to make.

We say openly that the System is at an early stage and that Charlie, being an AI agent, behaves differently in different situations. You are buying it with that known, which is also why the first group pays less.

The System is provided as it is, without warranties beyond those that cannot be excluded under Polish law.

Confidentiality

Both directions. What we learn about your company in sessions and in the work stays confidential, and we will not name you as a client without your agreement. What you learn about the System's internals — how it is built, how it works — stays confidential too.

This survives the end of the engagement.

Liability

Our total liability to you, on any basis, is limited to the amount you paid us.

We are not liable for indirect or consequential loss — lost profit, lost opportunity, lost data, or business interruption. Nothing here limits liability that cannot be limited under Polish law, including for intentional harm.

Ending the engagement

Your licence is perpetual and does not end when the six sessions do. Either of us may stop the working relationship at any time, and doing so does not affect the licence you have already paid for.

We may end the licence only if you breach clause 06 — the restrictions on redistribution and use beyond the Licensed Company — and do not fix it within five days of us telling you.

Changes to these terms

We may change these terms for future customers. The terms that apply to you are the ones in force when you paid, and we will keep a copy of that version available to you. We do not change your terms after the fact.

Law and disputes

Polish law governs these terms. If we cannot resolve something between us, the courts of Warsaw, Poland have jurisdiction.
